Terms of Use

Effective date: October 17, 2026

These Terms of Use govern your use of the public Shift Agency™ website. Shift Agency is operated by Venture AI Holdings Inc. (“we,” “us,” or “our”). Please read these Terms before using the website.

1. Acceptance and eligibility

By browsing or interacting with this website, you agree to these Terms, to the extent permitted by applicable law. If you do not agree, please discontinue use. Visitors must use the website lawfully and, when acting for an organization, have the necessary authority to do so.

2. Website information and services

The website describes marketing, custom web development, search engine optimization, branding, strategic advisory and related creative services. Information, features, service descriptions and public content may change without notice. Website materials are informational and do not constitute a binding offer, service guarantee or professional legal, accounting or financial advice.

3. Client projects and separate agreements

Project scope, deliverables, price, payment milestones, change requests, approval procedures, acceptance testing, licences, ownership, confidentiality, support and liability arrangements are governed by a separately accepted proposal, statement of work or services agreement. If a written project agreement conflicts with these general website Terms, the project agreement controls for the relevant engagement.

4. Acceptable website use

You agree not to misuse the site; attempt unauthorized access; introduce malicious code; probe security without written permission; scrape restricted data; infringe intellectual-property or privacy rights; impersonate others; send spam; or interfere with site availability or other visitors.

5. Intellectual property and trademarks

Unless otherwise stated, original website text, visual design, software and Shift Agency branding are owned by or licensed to the website operator and protected by applicable intellectual-property law. Shift Agency™ is used as a brand designation; the symbol does not itself represent a guarantee of trademark registration. You may view the website for lawful, personal or internal business evaluation but may not reproduce or commercialize protected materials without permission. Rights in commissioned client deliverables are determined by their respective written agreements.

6. Portfolio, examples and third-party marks

Portfolio previews and external links are provided to illustrate digital project categories and examples. Company names, project logos, domains and other third-party marks remain the property of their respective owners. Inclusion of an example does not by itself imply current endorsement, a continuing client relationship or ownership of a third-party brand. The underlying public sites may change after a preview is captured.

7. Client-submitted content

If you send a project inquiry, you confirm you have the right to submit the information and permit us to use it for the purpose of responding and assessing the proposed engagement. Do not transmit passwords, payment card details, highly confidential information or regulated personal data through the general contact form. Sharing an idea through a public inquiry does not create an exclusive relationship or confidentiality obligation unless separately agreed in writing.

8. External sites and third-party services

Our site may link to third-party websites or use third-party services, hosting and integrations. Their content, availability, security and terms are managed by their respective operators. We are not responsible for third-party activities beyond our control.

9. Privacy, cookies and electronic communications

Our handling of personal information and our cookie practices are described in the Privacy Policy. By using the contact form you agree that we may reply to the contact details you provide regarding your inquiry. Separate consent requirements apply to marketing communications.

10. Accuracy and availability disclaimers

We aim to keep information up to date but do not guarantee that public website descriptions, links or examples are always complete, accurate or uninterrupted. To the extent permitted by applicable law, this website is made available on an “as is” and “as available” basis. No statement on this site guarantees particular search rankings, business performance, revenue, technology outcomes or delivery dates.

11. Liability and non-excludable rights

To the fullest extent permitted by applicable law, we are not liable for indirect or consequential losses arising solely from use of the informational public website. These Terms do not override contractual remedies in a signed client agreement or exclude rights, warranties or liabilities that cannot lawfully be excluded.

12. Governing law

Unless mandatory consumer-protection or other applicable laws require otherwise, these public website Terms are governed by the laws of Ontario and the applicable federal laws of Canada. Nothing in this provision overrides an agreed dispute resolution clause in a signed client engagement.

13. Changes and severability

We may update the Terms as website practices evolve. Continued use after publication of updated Terms may signify acceptance to the extent allowed by law. If any clause is unenforceable, the remaining clauses continue to apply where legally possible.

14. Questions
